Adani Defence Systems & Technologies Ltd (ADSTL), a wholly owned subsidiary of Adani Enterprises Ltd has signed a share purchase agreement to acquire the remaining 44.6 per cent stake in Flight Simulation Solutions Pvt Ltd (FSSPL), taking its holding in the company from the current 55.4 per cent to 100 per cent.

Upon completion of the transaction, FSSPL will become a wholly owned subsidiary of ADSTL. Consequently, ADSTL’s effective stake in Flight Simulation Technique Centre Pvt Ltd (FSTC), a subsidiary of FSSPL, will increase from 72.8 per cent to 100 per cent, the company said in a stock exchange filing late Thursday night.

The acquisition, which is expected to be completed within two months, will be made through cash consideration. The company said the transaction is based on an enterprise value of ₹820 crore for FSTC, although it did not disclose the consideration payable for the acquisition of the remaining 44.6 per cent stake.

Adani Enterprises said the acquisition is aimed at expanding ADSTL’s footprint in the aviation services industry. FSSPL, along with its subsidiaries, provides integrated flight training services to airline pilots.

Its subsidiary, FSTC, is approved by both the Directorate General of Civil Aviation (DGCA) and the European Union Aviation Safety Agency (EASA) as a pilot training organisation.

FSSPL reported consolidated revenue of ₹235 crore in FY26, compared with ₹240 crore in FY25 and ₹215 crore in FY24, according to the filing.

The company said the transaction is not a related-party transaction and that neither the promoter nor the promoter group has any interest in the entity being acquired. It also said no governmental or regulatory approvals are required for the acquisition.
